Please read them carefully. If you do not agree with any term, do not use the Website or its services. By using the Website, you accept this legally binding Agreement in its entirety.
All legal proceedings shall be subject to the jurisdiction of the courts in Delhi, India and shall be governed by and construed in accordance with the laws of India. Users agree to resolve disputes under the Arbitration and Conciliation Act, 1996. The venue for arbitration shall be Delhi, India.
“Agreement” means these terms and conditions, including all schedules, appendices, annexures, the Privacy Policy, Cancellation & Refund Policy, Dispatch / Shipping Policy, Product Warranty Policy and Return Policy, as amended, novated, supplemented, varied or replaced from time to time. www.fliparrow.com is a registered trade portal of M/s Fliparrow Technologies Pvt. Ltd., 302, Mukund House, Azadpur Community Centre, New Delhi 110033. “Website” means the online platform owned and operated by Fliparrow. “User”, “Customer” or “Buyer” means a person or legal entity that accepts an offer by placing an order for or purchasing products offered through the Website. “Products” means the goods and/or services offered, promoted or displayed on the Website.
The User represents and warrants that she/he is competent and eligible to enter into a legally binding agreement and has the requisite authority to bind the other party to this Agreement. The User shall not use this Website if she/he is not competent to contract under applicable laws, rules and regulations.
Fliparrow reserves the right to accept or reject a User’s offer. Products and information displayed on www.fliparrow.com constitute an “invitation to offer”. A User’s order constitutes an “offer” subject to these terms and conditions. These terms supersede all previous representations, understandings or agreements and prevail notwithstanding any variance with other terms submitted with an order. By using the Website, the User agrees to be bound by these Terms and Conditions.
All prices, unless indicated otherwise, are in Indian Rupees. Prices and product availability may change without prior notice at Fliparrow’s sole discretion. Fliparrow may refuse or cancel an order for a product listed at an incorrect price, regardless of whether the order has been confirmed or payment received. If payment has been received, it will be refunded. The User agrees to pay the full order amount, including applicable shipping, handling and taxes. Items remain Fliparrow’s property until full payment. The User is responsible for legal expenses incurred in collecting debts. The User will pay shipping and handling for returns made to claim warranty or cancel an order, except where Fliparrow shipped incorrect merchandise, in which case Fliparrow will bear the return shipping cost.
For credit-card transactions, the User must use her/his own credit card. Fliparrow is not liable for credit-card fraud. Liability for fraudulent use rests with the User, who bears the burden of proving otherwise. Fliparrow does not share User data or card information internally or externally for monetary consideration.
Cheque payment is available only in India. Realisation may take time depending on receipt and bank clearance. Charges associated with outstation cheques are borne by the User. The User must maintain sufficient funds to prevent a cheque being returned unpaid. A cheque-return charge of ₹500 and interest at 24% per annum from the return date until realisation will apply to each unpaid cheque.
Online orders are billed and dispatched on a best-effort basis, with delivery updates provided by phone, email or the Website. Orders are dispatched through Fliparrow’s appointed courier using an optimal surface route or as specified in the order. Delivery dates are estimates; Fliparrow is not liable for delays or incorrect delivery caused by inaccurate customer addresses. If non-delivery results from a buyer’s error, including an incorrect name or address or closed premises, the buyer must pay any redelivery costs. Fliparrow is not responsible for shipping-company errors in transit or resulting damage or loss of value, time, profit or money. On receipt, the buyer must check the product’s accuracy and condition, including physical damage or short shipment, and report any issue in writing or through company call-centre numbers within 24 hours. Claims made later will not be entertained.
Products sold on the Website are new and free from defects unless stated otherwise. Buyers must confirm compatibility before ordering or seek Fliparrow’s assistance. Warranty coverage and duration follow the relevant manufacturer’s stated terms. Fliparrow does not provide support or service for a sold product unless offered directly. Fliparrow is not responsible for inadvertent errors in content, specifications or images; customers should verify actual specifications with the relevant manufacturer.
If a buyer makes a genuine ordering error, the buyer may ask the sales department to change the product. Fliparrow may accept or refuse the request, and any price difference will be charged or refunded as applicable. Cancellation or change requests will not be entertained after a supply order or merchandise has been processed or shipped. Where Fliparrow considers it appropriate and the product has not been processed or shipped, it may accept the buyer’s reason and issue a refund after deducting a cancellation fee equal to 20% of the base order value.
All text, graphics, audio, video, designs and other works on the Website are copyrighted works of Fliparrow or its associated business-partner brand owners. Altering or using Website material for commercial purposes without permission violates applicable copyrights. Website content may not be copied, reproduced, republished, uploaded, posted, transmitted or distributed without Fliparrow’s prior written permission. Responsibility and liability for damage caused by downloading data are disclaimed.
Fliparrow makes no warranties or representations about Website content and assumes no responsibility for errors or omissions. Content is provided “as is”, without express or implied warranties, including merchantability, fitness for a particular purpose and non-infringement. Fliparrow does not warrant that files, links or pointers are free from viruses or destructive code; that information will meet a User’s requirements; that the Website will be uninterrupted, timely, secure or error-free; that results will be accurate or reliable; that information quality will meet expectations; or that software errors will be corrected. Downloads are made at the User’s discretion and risk, and the User is responsible for resulting system damage or data loss. Fliparrow is not liable for delays or failures caused by events beyond its reasonable control, including internet, equipment, telecommunications or power failures; labour disputes; civil disturbances; shortages; fire, flood, storm or explosion; acts of God or war; governmental or court actions; third-party non-performance; or environmental-service fluctuations. Fliparrow may change Website format, content, products or services, and may suspend or terminate the Website or any service with or without notice.
A User’s correspondence, business dealings or participation in promotions with advertisers through the Website—including payment, delivery, terms, conditions, warranties or representations—is solely between the User and advertiser. Fliparrow is not responsible or liable for losses arising from such dealings or from an advertiser’s presence on the Website.
The User shall not reproduce, sell, resell, duplicate or copy any part of the service, or access or use Fliparrow’s service for a commercial purpose without Fliparrow’s prior consent in the form of an agreement.
Fliparrow may send updates and promotional offers by email. Users are not required to remain subscribed and may opt out at any time. By using our contact form or chat widget, Users consent to being contacted by phone for follow-up regarding their enquiry.
Fliparrow may not monitor Users’ conduct away from the Website. It is a breach of this Agreement to use Website information to harass, abuse or injure another User or person, or to contact, advertise, solicit or sell to another User or person without Fliparrow’s prior explicit consent. Fliparrow regards such acts as misconduct and is not responsible for misconduct by Users.
Without limiting other legal or equitable remedies, Fliparrow may, at its sole discretion, terminate a User’s password, account or Website use and remove associated content for reasons including violation of these Terms and Conditions, violation of applicable law, a requirement of a governing authority, or lack of use/dormancy. Fliparrow may move, change, suspend or discontinue all or part of the Website or service at any time, with or without notice. Termination may occur without prior notice, and Fliparrow may immediately deactivate or delete the account, related information and files, and bar further access. Fliparrow is not liable to the User or any third party for termination of access.
Fliparrow may modify or amend these Terms and Conditions without stating a reason. Changes take effect immediately after notice, including posting on the Website or notification by email. Fliparrow is not liable to a User or third party for modification, suspension or discontinuance of the Website.
The User agrees to indemnify Fliparrow and its affiliates—including directors, employees, service providers, content providers and suppliers—against losses, claims or demands, including legal fees, resulting from violation of these Terms and Conditions or wrongful activity related to the User’s account by the User or anyone using that account.
